These Terms govern use of naimtag by organizers and attendees. By creating an account, registering for an event, or using the platform, you agree to them. [AiHello LLC / legal entity name] ("naimtag") provides the service.
Organizer plans are described on the pricing page and in your order form. Fees are due as invoiced; annual plans renew unless cancelled before renewal. Introductory founding-partner rates are honored for the term stated in the order form. Add-ons are quoted separately.
Organizers own their event content and attendee data and grant naimtag a license to host, process, and display it to run the service. You are responsible for having the right to upload it and for your own compliance obligations toward your attendees, including any notices your organization must give.
No unlawful, abusive, or misleading content; no harvesting of other attendees' information beyond the platform's intended scan-to-connect features; no attempts to access another organization's data or to circumvent security controls; no reselling the service without a written agreement.
Features labeled beta, pilot, preview, or coming soon are provided as-is, may change or be withdrawn, and may not be relied on for critical operations. Pilot arrangements are governed by their written terms; absent those, these Terms apply.
We aim for high availability but do not guarantee uninterrupted service. Support is provided by email during business hours, and by arrangement during live events for organizers on applicable plans.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, NAIMTAG DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE FULLEST EXTENT PERMITTED BY LAW, NAIMTAG WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR DATA, ARISING FROM USE OF THE SERVICE. NAIMTAG'S TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE FEES PAID BY THE ORGANIZER FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM. Some jurisdictions do not allow certain limitations; in those, liability is limited to the extent permitted.
Organizers will defend and indemnify naimtag against third-party claims arising from their event content, their attendee data practices, or their violation of these Terms.
Either party may terminate for material breach uncured after 30 days' notice. On termination, organizers may export their data for 30 days, after which it may be deleted.
These Terms are governed by the laws of the State of [Illinois], without regard to conflict-of-law rules, and disputes will be resolved in its state or federal courts.
